These Terms of Service ("Terms") govern your access to and use of the Revisly service, including any associated websites, applications, and software (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

1. Definitions

"Revisly", "we", "us", or "our" refers to the company operating the Service.

"User", "you", or "your" refers to the individual or entity that has agreed to these Terms.

"Content" means any information, data, text, photographs, images, or other materials that users submit to or through the Service.

2. Account Registration and Security

To use certain features of our Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for safeguarding your account credentials and for any activity that occurs under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to disable any account if we believe you have violated these Terms or if we determine that your account information is inaccurate.

3. Subscription and Payment Terms

3.1 Subscription. Some aspects of our Service require payment. By selecting a paid subscription, you agree to pay all fees in accordance with the billing terms in effect at the time.

3.2 Automatic Renewal. Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. By subscribing, you authorize us to charge your payment method for the subscription fee on a recurring basis until you cancel.

3.3 Price Changes. We may change the price of our Service from time to time. Any price changes will take effect at the beginning of your next billing period after we notify you.

3.4 Refunds. Refunds are provided in accordance with our Refund Policy. Generally, no refund or credit will be issued for partial months of service or unused portions of a subscription period.

3.5 Taxes. Unless otherwise stated, the subscription fees do not include any taxes, levies, duties, or similar governmental assessments. You are responsible for paying all taxes associated with your purchase.

4. User Content and License

4.1 User Content. You retain all ownership rights in the Content you submit to the Service. By uploading Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, adapt, and publish the Content solely for the purpose of providing and improving the Service.

4.2 Receipt Data. When you upload receipts or financial documents, you represent that you have the necessary rights to such documents and authorize us to process, store, and analyze the data contained within them.

4.3 Responsibility for Content. You are solely responsible for the Content you submit and the consequences of sharing it through our Service. We are not responsible for any use or misuse of your Content by other users or third parties.

5. Prohibited Activities

You agree not to:

  • Access the Service through automated means without our express permission
  • Attempt to reverse engineer or extract the source code of our software
  • Circumvent or disable any security or technological features of the Service
  • Use the Service to store or transmit malicious code or infringing material
  • Interfere with the proper operation of the Service or place an unreasonable load on our infrastructure
  • Share your account credentials with third parties or create multiple accounts to circumvent usage limits
  • Use the Service for any unlawful purpose or to violate any laws or regulations

We reserve the right to suspend or terminate your access if we reasonably believe you have violated these prohibitions.

6. Service Availability and Updates

10. Termination

10.1 Termination by You. You may terminate your account at any time by following the instructions on the Service or by contacting our support team. After termination, you will no longer have access to your account or the data associated with it.

10.2 Termination by Us. We may terminate or suspend your account and access to our Service immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

10.3 Effect of Termination. Upon termination, we may delete your Content and account information. We have no obligation to maintain or return Content after termination unless required by applicable law.

11. Disclaimers and Warranties

11.1 No Warranty. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Financial Advice. The Service is designed to help you organize and manage receipts and financial information. It is not intended to provide tax, legal, or financial advice. You should consult with a qualified professional for advice tailored to your specific situation.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL REVISLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  1. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
  2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
  3. ANY CONTENT OBTAINED FROM THE SERVICE; AND
  4. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN ANY CASE, OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE PAST TWELVE MONTHS.

THE LIMITATIONS OF THIS SECTION WILL APPLY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to defend, indemnify, and hold harmless Revisly and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another.

14. Governing Law and Dispute Resolution

14.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.

14.2 Dispute Resolution. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be submitted to mediation in Stockholm, Sweden, unless we both agree to a different location.

14.3 Legal Action. If the dispute is not resolved through mediation, either party may pursue any available legal remedies in the appropriate courts of Sweden.

15. General Provisions

15.1 Entire Agreement. These Terms constitute the entire agreement between you and Revisly concerning the Service and supersede all prior agreements or understandings.

15.2 Severability. If any provision of these Terms is found to be unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative.

15.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms without restriction.

15.5 Amendments. We reserve the right to modify these Terms at any time. We will notify users of any significant changes by posting a notice on our website or through the Service. Your continued use of the Service constitutes acceptance of such changes.
